Welcome to Togetha, a property management application developed by Moradia Ltd. These Terms of Service ("Terms") govern your use of the Togetha application ("the App"), which includes accessing and using all of its features and services.
Use of the App
You may use the App only for lawful purposes and in accordance with these Terms. You agree not to use the App:
- In any way that violates any applicable national, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the United Kingdom or other countries).
- To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
- To impersonate or attempt to impersonate Moradia Ltd, a Moradia Ltd employee, another user, or any other person or entity.
- To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the App, or which, as determined by Moradia Ltd, may harm Moradia Ltd or users of the App or expose them to liability.
User Accounts and Security
To use the App, you must create an account by providing your name, email address, and phone number. You are solely responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, mobile device, or other device used to access the App. You agree to accept responsibility for all activities that occur under your account or password.
Moradia Ltd reserves the right to refuse service, terminate accounts, remove or edit content, or cancel orders in its sole discretion.
Payment and Subscription
The App offers various paid subscription plans ("Subscription Plans"), which provide access to additional features and services. By subscribing to a Subscription Plan, you agree to pay the applicable subscription fee and any taxes and other fees that may apply. Moradia Ltd reserves the right to change subscription fees or institute new fees at any time upon notice to you.
Subscription fees are non-refundable, except as expressly provided in these Terms or as required by applicable law. If you cancel your subscription, you will continue to have access to the App and its features until the end of your current billing period.
Legal Basis for Processing Your Personal Data
We process your personal data based on the following legal bases:
- Your consent, where applicable
- The performance of a contract between you and us
- Our legitimate interests, such as to improve the App and to communicate with you about the App and your account
- Compliance with legal obligations
Intellectual Property
The App and its entire contents, features, and functionality (including, but not limited to, all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by Moradia Ltd, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our App, except as follows:
- Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
- You may store files that are automatically cached by your Web browser for display enhancement purposes.
- You may print or download one copy of a reasonable number of pages of the App for your own personal, non-commercial use and not for further reproduction, publication, or distribution.
If we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, non-commercial use, provided you agree to be bound by our end-user license agreement for such applications.
Disclaimer of Warranties
The App is provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose, or non-infringement. Moradia Ltd does not warrant that the App will be uninterrupted, error-free, or free of viruses or other harmful components.
Limitation of Liability
To the fullest extent permitted by law, Moradia Ltd and its affiliates, officers, employees, agents, partners, and licensors shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including, without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the App; (ii) any conduct or content of any third party on the App; (iii) any content obtained from the App; and (iv) unauthorised access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legaltheory, whether or not Moradia Ltd has been informed of the possibility of such damage
Indemnification
You agree to indemnify, defend, and hold harmless Moradia Ltd and its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the App, including, but not limited to, any use of the App's content, services, and products other than as expressly authorised in these Terms.
Termination
Moradia Ltd may terminate or suspend your access to all or part of the App, without notice, for any reason, including, without limitation, breach of these Terms. Upon termination, your right to use the App will immediately cease.
Governing Law and Venue
These Terms and your use of the App shall be governed by and interpreted in accordance with the laws of England and Wales, without regard to its principles of conflicts of law.
Changes to These Terms
Moradia Ltd reserves the right, in its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our App after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorised to use the App.
Miscillaneous
These Terms constitute the entire agreement between you and Moradia Ltd regarding the use of the App and supersede all prior agreements and understandings, whether written or oral. Moradia Ltd's failure to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
